These terms govern the business use of Buyerfly: the website, the app, the AI editor, site hosting, plans, and credits.
1. Provider and agreement
Nikolaus Redl, Kleistgasse 18/41, 1030 Vienna, Austria ("Buyerfly", "we", "us"), provides the Buyerfly service. These terms form a contract between us and the business that creates a workspace, buys a plan or credits, or uses the service ("Customer", "you").
If you use Buyerfly for an organization, you confirm that you can bind it to these terms. An order form or a separately signed agreement takes priority over these terms where it says so.
When we process personal data on your behalf, the Data processing agreement applies. It forms part of this agreement.
Business use only. Buyerfly is for businesses and professionals, not for consumers. When you create a workspace or buy a plan or credits, you confirm that you act for your business or profession.
2. The service
Buyerfly builds and hosts websites for small service businesses. You describe what you want in a chat. An AI agent changes the code of your site, and you check the result in a private live preview. Buyerfly saves each finished change as a version. You can restore an earlier version, and you can publish a version to a web address that we host or to your own domain.
Published sites can have contact forms. Buyerfly sends each form message by email to the workspace member that you choose. Buyerfly does not keep a copy of the message.
On request, our team rebuilds the public pages of an existing website in Buyerfly. We agree on the pages with you first. A visual report lists the differences that we find, and you accept them before the new site goes live.
The features and limits of your workspace depend on your plan and on what the app shows. We can improve or replace features and providers if the purpose of the service stays the same. Features that we mark as beta or preview can change or end, and no service level applies to them.
3. Accounts and workspaces
- You must be at least 18 and give accurate account and billing information.
- You sign in with a one-time code that we send to your email address, or with Google when we offer it. Keep your email account secure, and do not share sign-in codes.
- A workspace has members with the role owner, admin, editor, or viewer. The owner manages billing and is responsible for the activity of all members and connected directories.
- Agency workspaces can connect a SCIM directory. Keep its tokens secret, and revoke a token at once if another person may know it.
- Tell us at once if you suspect unauthorized access to your account or workspace.
- We can use reasonable technical limits and checks to stop abuse, for example rate limits and daily limits.
4. Your responsibilities
You must:
- use Buyerfly and your sites only for lawful purposes;
- have the rights to the texts, pictures, files, logos, and other content that you give us, and to the web pages that you ask us or the AI agent to read or copy;
- check every change in the preview before you publish it;
- give your sites the legal information that your business needs, for example an imprint, a privacy policy, and consent for the cookies and trackers that you add;
- have a legal basis for the personal data on your sites and in your forms, and inform your visitors as the law requires; and
- keep the email address that receives your form messages up to date.
The site template does not include an imprint or a privacy policy for your business. When you add trackers in Buyerfly, your site shows a consent banner. You decide which trackers your site uses, and you are responsible for them. Buyerfly does not give legal advice.
You are the controller of the personal data on your sites and in your form messages. Our privacy policy explains when we act as controller and when we act as processor.
5. Prohibited use
You must not use Buyerfly, or help others use it, to:
- publish unlawful, deceptive, or defamatory content, or content that infringes the rights of others;
- copy a website, a brand, or content without permission, or make a site that pretends to be another business;
- send spam, run phishing, spread malware, or collect personal data of visitors without a legal basis;
- test, disrupt, overload, or break into Buyerfly, its providers, or the site of another customer;
- use the hosting, the AI model access, or other resources of your site for other purposes than your site, for example crypto mining or attacks on other systems;
- get around credits, limits, or payment, share an account outside your workspace, or resell access to Buyerfly without our written consent; or
- break sanctions or export control laws.
6. AI-made changes
An AI model makes the changes that you ask for. AI output can be wrong, incomplete, or different from what you asked for.
We do not guarantee that text, code, or other output of the AI is correct, complete, lawful, or fit for your purpose. Check each change in the preview before you publish it. You are responsible for what you publish.
To make a change, Buyerfly sends your request, the site files that the agent needs, your attachments, and screenshots of preview pages to an AI model provider. The privacy policy explains this.
7. Plans and payment
Buyerfly sells annual plans (Solo, Team, Agency) and one-time credit packs. The pricing page shows the current prices and limits. Prices exclude VAT. Stripe calculates the tax at checkout. The checkout shows the price, the tax, and the billing period before you confirm.
A plan renews each year until you cancel it. The workspace owner cancels in the Stripe customer portal. The cancellation takes effect at the end of the paid period. A move to a larger plan takes effect at once, and Stripe charges the difference for the rest of the period. A move to a smaller plan takes effect at the end of the period.
We do not refund paid periods, used credits, or purchased packs, unless mandatory law requires a refund or we confirm a duplicate or wrong charge.
Without a plan, a workspace can create one site and edit it with purchased credits, but it cannot publish. When a plan ends, the workspace keeps its sites and versions but can no longer publish. We can take its live sites offline after the plan ends. We tell you by email at least 14 days before we do this.
We can give a workspace a free plan or free credits. A free plan ends on the date that we name. Free credits follow the rules that we tell you when we give them.
We can change prices and plan contents for future periods. We tell you at least 30 days before a change takes effect, and you can cancel before that date.
Business customers must give a valid VAT ID where the law requires it. The checkout asks for a billing address and accepts a VAT ID.
8. Credits
- AI credits pay for the AI work behind each change. A small change uses fewer credits than a large one.
- Each plan adds included credits every month. Included credits expire when the next monthly credits arrive.
- A credit pack adds credits once. Purchased credits do not expire, but they end when the workspace closes.
- When an edit starts, Buyerfly reserves credits for it. When the edit ends, we charge the credits that it used, up to the reserved amount, and release the rest. A failed edit costs no credits. If you stop an edit, we charge the credits that it used until then.
- Buyerfly does not start a new edit when the workspace has too few credits. Your published sites stay online.
- Credits are not money. You cannot transfer them to another workspace or exchange them for money.
Automatic top-ups
Automatic top-ups are off by default. The workspace owner can turn them on and chooses a credit pack, the balance that starts a purchase, and a monthly limit in EUR, tax included. Buyerfly then charges the saved card for the chosen pack when the balance falls below that level, but never more than the monthly limit. Automatic top-ups need an active paid plan. The owner can turn them off at any time.
Refunds and disputes
When we refund a pack, we remove the purchased credits that are not used yet. A refund or a payment dispute stops automatic charges and freezes the billing of the workspace. While billing is frozen, the workspace cannot start new edits that use credits.
9. Hosting, publishing, and domains
You decide when to publish. An edit does not publish a change. A published version stays live until you publish another version or roll back.
You can connect one domain that you own to each published site. You add the DNS records that Buyerfly shows at your domain provider. Buyerfly does not change your DNS. You stay responsible for the registration and renewal of your domain.
Previews are private to your workspace. A preview stops after a few minutes without activity and starts again when you open the editor.
The media files of a site, such as pictures, videos, and documents, are public files. Anyone who has the link can open them, also before you publish. Do not add confidential files as site media. Chat attachments are private. An attachment becomes a public media file only when the agent adds it to your site.
10. Your content and the code of your site
You keep all rights in the content that you give us, such as your business details, texts, pictures, and files. You give us a non-exclusive, worldwide license for the term of the agreement to host, copy, change, transmit, and show this content, only as needed to provide, secure, and support Buyerfly. This includes the transfer to the AI model providers and other service providers that the privacy policy names. We do not acquire ownership of your content.
Buyerfly keeps the code of your site in a private repository that we manage. In this version, you do not get direct access to the repository. On request, we give you an export of the files of your site.
You can send us feedback. We can use it without restriction or payment. We do not name you in public without your permission.
11. Our intellectual property
We and our licensors keep all rights in Buyerfly, its software, the site template, interfaces, documentation, designs, and brand. For the term of the agreement, we give you a limited, non-exclusive, non-transferable right to use Buyerfly for your business under these terms. You must not copy, sell, or sublicense Buyerfly, or use it to build a competing service.
12. Open source software
Buyerfly uses open source software. When you add a HEIC or HEIF picture in a browser other than Safari, Buyerfly loads libheif 1.23.5, through the npm package heic-to 1.6.5, to convert the picture to JPEG in your browser. We serve this library unchanged as its own file. libheif and heic-to are licensed under the GNU Lesser General Public License, version 3 (LGPL-3.0). Their source code is available at github.com/strukturag/libheif and github.com/hoppergee/heic-to.
13. Availability and support
We work to keep Buyerfly reliable, but we do not promise that it is always available or free of errors. Buyerfly depends on providers for hosting, AI models, email, and payments, which we do not control. Maintenance and urgent security work can limit access for a time.
No service level agreement applies unless a signed order includes one. You reach support at contact@supercenter.app.
Our support staff can sign in to your account to help you, to find errors, or to check for abuse. The audit log of your workspace records each such session.
14. Suspension and termination
We can suspend access, or take a site offline, when this is reasonably necessary because of a security risk, suspected unlawful or prohibited use, non-payment, a material breach, or a legal requirement. Where practical, we tell you first and give you a chance to fix the problem. We can end the agreement for a material breach that you do not fix, or at once where a fix is not possible or where further service would be unlawful or unsafe.
You can stop using Buyerfly at any time. You cannot delete your account in the app while your workspace has sites. To close a workspace, contact us. If you need an export of your site files, ask for it before the workspace closes. The privacy policy explains when we delete data.
Sections that by their nature continue after the end of the agreement stay in effect, including payment, intellectual property, liability, and dispute terms.
15. Warranties
Each party confirms that it can enter into this agreement. As far as the law permits, we provide the service as available. We exclude implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose, and non-infringement as far as the law permits. This does not limit an express commitment in an order form.
16. Liability
Nothing in these terms excludes liability for intent, gross negligence, death or personal injury, fraudulent concealment, or any liability that cannot be limited under Austrian law.
For slight negligence, we are liable only for breach of an essential contractual obligation, and only for damage that was typical and foreseeable when the contract was made. Subject to the previous sentence and the mandatory exceptions above, the total liability of each party arising from the service is limited to the fees that the Customer paid or must pay for the twelve months before the event that caused the claim. As far as the law permits, neither party is liable for indirect or consequential loss, lost profit, lost savings, or loss caused by content or AI output that the Customer published without checking it.
17. Indemnity
You will defend and indemnify us against claims of third parties, demands of authorities, and reasonable costs that result from your unlawful use, your content or sites, a breach of Your responsibilities or Prohibited use, or an infringement of the rights of another person, except to the extent that our breach caused them. We tell you promptly about such a claim and let you reasonably control the defense. A settlement must not admit fault for us or put a non-monetary obligation on us without our consent.
18. Changes to these terms
We can update these terms for new features, security, legal requirements, or reasonable business changes. Material changes take effect at least 30 days after we tell you by email or in the app, unless an urgent legal or security change must take effect sooner. If you do not agree, you can cancel before the change takes effect. Changes do not affect fees already paid or claims that arose under an earlier version.
19. Governing law and general terms
Austrian law applies, without its conflict-of-law rules and without the UN Convention on Contracts for the International Sale of Goods. The courts with subject-matter jurisdiction in Vienna, Austria, have exclusive jurisdiction for disputes between businesses. Mandatory rules on jurisdiction stay unaffected.
Neither party is liable for delays caused by events beyond its reasonable control. This does not apply to payment obligations. You may not transfer the agreement without our consent, except together with a transfer of substantially all of the relevant business. We may transfer it as part of a restructuring or a sale of our business. If a provision is unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver. These terms, the order, and the documents that they refer to are the entire agreement about the service.
